1. Structure of this agreement

Composed Studio, LLC, a company organized under the laws of the State of Missouri, United States ("Composed Studio", "we", "us", or "our"), operates a platform of independent software modules: CertFleet, Atlasafe, WarrantyTrail, TractTerm, PlotSlate, and CertEquip (each, a "Module"). This Master Platform Agreement ("Master Agreement") governs your organization's ("Organization", "you", or "your") access to the platform as a whole. Each Module you activate is additionally governed by that Module's own schedule (a "Schedule"), incorporated into this Master Agreement by reference. Where a Schedule conflicts with this Master Agreement on a matter specific to that Module, the Schedule controls for that Module only.

2. Acceptance

An authorized representative of your Organization accepts this Master Agreement when your Organization is created on the platform. Accepting a Module's Schedule happens when your Organization first activates that Module. Each acceptance is recorded against the specific version and Schedule text accepted, per Section 14 below.

3. Accounts and access

One Organization account provides access to every Module it has activated, under a single sign-on and a single bill. Your Organization is responsible for the actions of its authorized users and for keeping account credentials secure. You may add or remove Modules at any time; removing a Module ends that Module's Schedule but does not affect this Master Agreement or any other active Module.

Individual accounts. Each authorized user signs in with a Composed Studio Account: a single sign-in, personal to that user, that can belong to more than one Organization. By using a Composed Studio Account, each user agrees to this Section 3 individually, in addition to your Organization's acceptance of this Master Agreement. A user must not share their account or let anyone else sign in as them. Your Organization's Owners and Admins can manage a user's membership and role, but the account remains the user's own.

Keeping your account secure. Each user is responsible for:

• their password: choosing one they don't use anywhere else, and changing it if they think anyone else knows it;
• the devices and apps they use for two-step verification: keeping them locked, and not sharing the setup key or the square code for their authenticator app with anyone;
• their recovery codes: storing them somewhere safe and separate from their phone, and making a new set if they think anyone else has seen them;
• telling us promptly at hello@composedstudio.com if they believe their account has been accessed without permission.

We strongly recommend turning on two-step verification, and we recommend the authenticator app method. The Help Center explains how at two-step verification.

When two-step verification is required. We may require two-step verification for some organizations or roles, and your Organization may require it for every member. Some roles (including Composed Studio staff and, where the Organization chooses, Owners and Admins) require it regardless. Where it is required for a user who has not set it up, we will ask them to at their next sign-in before they can continue, and they agree to keep a working method in place for as long as the requirement applies. An Organization may also disallow remembering a browser, in which case its members are asked for a code at every sign-in.

Support-assisted removal of two-step verification. If a user loses access to every two-step method and every recovery code, they may ask us to remove two-step verification from their account. Each user agrees that: we will verify their identity before acting, and may ask an Owner or Admin of their Organization to confirm who they are; we will notify every contact point on the account when a request is made and again when it is carried out; there is a 24-hour waiting period between accepting the request and carrying it out, during which the user or anyone who receives the notice can cancel it; and we may refuse a request we cannot verify, and will never remove two-step verification over the phone or skip the waiting period, however the request is framed.

Suspension of an individual account. We may suspend or close a Composed Studio Account that is used in breach of this Master Agreement or where we reasonably believe it has been compromised. How we handle the personal information behind an account, including what we store for two-step verification and for how long, is described in the Privacy Policy.

4. Use of the platform

You agree, and will ensure your authorized users agree, not to:

• use any Module in a way that violates applicable law or regulation;
• attempt to gain unauthorized access to the platform, its infrastructure, or another Organization's data;
• interfere with or disrupt the platform, including by transmitting malware or performing denial-of-service attacks;
• reverse engineer, resell, or sublicense a Module except as a Schedule expressly permits;
• misrepresent your affiliation with Composed Studio or impersonate any person or entity.

5. Fees and billing

Fees are billed per Module per the pricing terms in that Module's Schedule, consolidated onto one invoice per billing period across every Module your Organization has active. Your Organization is billed on a single billing interval, monthly or annual, which applies to every Module on the account. Each Module offers a 14-day, full-featured free trial; no payment method is required to start a trial.

Platform discount. When your Organization has two or more paid Modules active, a published, automatic platform discount applies to every Module subscription on the account: 15% with two active paid Modules, 20% with three, and 25% with four or more. The discount is rule-based and identical for every qualifying organization: it applies automatically, is never negotiated, and stacks only with a Module's published annual-billing discount. A Module in its free trial does not count toward the discount until the trial converts to a paid subscription, at which point the discount recalculates automatically.

Adding a Module adds its fees prospectively from activation. Removing a Module: the Module remains fully usable until the end of its current paid billing period, and its fees stop at that point; we do not issue mid-period refunds or partial-period credits. At the end of that period, the platform discount recalculates based on the Modules that remain. The removed Module's data remains available to your Organization in read-only export for 60 days after removal takes effect, after which it is deleted per that Module's data practices; re-activating the Module within that window restores its data. Removing your last active Module cancels the subscription at the end of its paid period; your Organization's account remains, and Modules can be re-activated at any time.

6. Data

Your Organization owns the data it puts into each Module. How each Module collects, processes, and protects personal data is described in the Privacy Policy and, where a Module has data handling specific to its function, in that Module's Schedule. Cross-module data sharing happens only where you've activated Modules that share data by design, and is described in the relevant Schedules. Where a Module sends text messages (sign-in codes or credential and service reminders), those messages are governed by our SMS Terms.

7. Intellectual property

The platform and each Module, including their software, designs, and documentation, are owned by Composed Studio or its licensors. We grant your Organization a limited, non-exclusive, non-transferable license to access and use each Module you've activated, for your internal business purposes, for as long as this Master Agreement and that Module's Schedule remain in effect. No other rights are granted.

8. Changes to the platform; roadmap communications

We develop the platform and each Module continuously: features may be added, changed, or retired over time, and a Module's Schedule describes that Module as it exists at the Schedule's version date. We will not materially reduce a Module's core functionality during a paid billing period without notice. Any roadmap, preview, beta, or other statement about future functionality, wherever and however communicated, is informational only, is not a commitment to deliver anything by any date or at all, and does not modify this Master Agreement or any Schedule. Decisions to purchase or renew should be based on functionality that exists today, not on expected future functionality.

9. Disclaimers

THE PLATFORM AND EACH MODULE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. A MODULE'S SCHEDULE MAY STATE ADDITIONAL, MODULE-SPECIFIC DISCLAIMERS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPOSED STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS MASTER AGREEMENT OR ANY MODULE. UNLESS A SCHEDULE STATES OTHERWISE FOR ITS MODULE, OUR TOTAL AGGREGATE LIABILITY FOR A MODULE WILL NOT EXCEED THE FEES YOUR ORGANIZATION PAID FOR THAT MODULE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

Your Organization agrees to indemnify and hold harmless Composed Studio from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Organization's use of the platform in violation of this Master Agreement, a Schedule, or applicable law.

12. Term, suspension, and termination

This Master Agreement remains in effect while your Organization has at least one active Module. We may suspend or terminate access for material breach, non-payment, or legal or security necessity, consistent with any additional notice terms a Schedule provides for its Module.

13. Governing law and disputes

This Master Agreement is governed by the laws of the State of Missouri, United States, without regard to its conflict-of-laws principles. Disputes arising out of or relating to this Master Agreement or any Schedule will be brought exclusively in the state or federal courts located in Missouri.

14. Versioning and changes

This document is versioned. The version and date shown above the notice are the version and date any acceptance record refers back to. This version is permanently reachable at composedstudio.com/terms/v/2026-08-18; when we publish a new version, the previous version stays reachable at its own versioned URL rather than being overwritten, so an acceptance always resolves to the text that was actually accepted. /terms always shows the current version. Module Schedules version independently of this Master Agreement and of each other.
